Consultant hereby agrees to indemnify, hold harmless and defend Client from and against any and all claims, liabilities, losses, expenses (including reasonable attorneys’ fees), or damages (collectively “Liabilities”) asserted against Client by a third party to the extent such Liabilities result from the infringement of the Works delivered on any third party’s trade secret, trademark, service mark, copyright or patent issued as of the date of this Agreement (collectively, an “Intellectual Property Right”); 顾问谨此同意，若因其交付的作品对任何第三方截止到本协议之日发布的商业秘密、商标、服务标记、著作权或专利（合称“知识产权”）构成侵权，而导致第三方对客户提起索赔、追究其责任、要求其赔偿损失和费用（包括合理的律师费）、或支付赔偿金（合称“责任”），顾问将向客户做出赔偿，使客户免受损害，并为客户进行抗辩。
